Terms of Service for DataComplAI

Welcome to DataComplAI. These Terms of Service ("Terms") govern your access to and use of the DataComplAI framework, the local agent, and associated services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.

1. The Service & Sovereign Architecture

DataComplAI provides an AI-native compliance platform designed for Indian MSMEs and our partners.

  • Local Agent: The Service utilizes a local agent that processes data on your edge infrastructure.
  • No Data Mining: We do not use your business data or PII to train our global models. All intelligence is refined locally or via anonymized, PII-scrubbed metadata.

2. DPDP Compliance & Data Fiduciary Roles

  • Your Role: You are the Data Fiduciary for any personal data you upload or process. You are responsible for ensuring you have a lawful basis (Consent or Legitimate Use) for such processing.
  • Our Role: DataComplAI acts as a Data Processor under your instructions. We implement "Privacy-by-Design" to help you meet your obligations under the DPDP Act, 2023.
  • Bhashini Integration: You acknowledge that voice-based consent is processed via the Bhashini framework to support 22 Indian languages.

3. Use of the Service

  • Eligibility: You must be a legal entity or a professional operating in India.
  • Account Security: You are responsible for maintaining the confidentiality of your local agent credentials.
  • Prohibited Use: You shall not use the Service to process data in a manner that violates the "Negative List" of cross-border transfers as specified by the Government of India.

4. Intellectual Property

  • Platform: All rights to the DataComplAI software, algorithms, and the edge architecture remain with us.
  • Your Data: You retain all rights to the data you process. We claim no ownership over your business documents or PII.

5. Confidentiality (The Guardian Protocol)

We acknowledge the highly sensitive nature of the information processed.

  • Non-Disclosure: We shall not disclose any "Confidential Information" (including the existence of the "DataComplAI" project itself, as per our mutual agreement) to any third party without explicit written consent.
  • Edge-Security: Because processing happens on your local agent, we do not have access to your raw data unless you explicitly transmit it for support purposes.

6. Limitation of Liability

  • DataComplAI is a tool to assist with DPDP compliance. It does not constitute legal advice.
  • To the maximum extent permitted by law, DataComplAI shall not be liable for any statutory penalties levied by the Data Protection Board (DPB) due to your failure to follow the platform's compliance recommendations or otherwise.

7. Termination

  • You may terminate your subscription at any time.
  • Data Portability: Upon termination, you have the right to export your compliance logs and PII-scrubbed reports. All data on the local agent will be wiped following a 48-hour "Erasure Notice" as per DPDP Rules 2025.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
